Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you agree to these Terms and any policies referenced here, including our Privacy Policy. If you are accepting on behalf of a company, you represent that you are authorized to bind that company. If you do not agree, you must not use the Platform.

2. Description of Service

QoreStruct is a multi-tenant, cloud-based platform for managing construction and company operations — including projects, site operations, procurement, finance and approvals, inventory, HR, engineering and technical review, and reporting. Each Customer is provisioned with its own secure portal. We may add, change, or remove features over time to improve the Platform.

3. Company Accounts and Authorized Users

Access is provisioned per company and is invitation-only. Customer administrators create and manage User accounts, assign roles and permissions, and are responsible for all activity that occurs under their organization's accounts. Users must keep credentials confidential and must not share accounts.

4. Customer Responsibilities

• Maintain accurate account and administrator information.
• Manage User access and promptly revoke access when no longer needed.
• Ensure they have the rights and permissions necessary for data they enter.
• Use the Platform in compliance with applicable laws and these Terms.
• Safeguard credentials and report suspected unauthorized access.

5. Acceptable Use

You agree not to:

• Access data or portals belonging to other companies or beyond your authorization.
• Attempt to probe, scan, breach, or circumvent security or authentication.
• Upload malicious code or interfere with the integrity or performance of the Platform.
• Use the Platform unlawfully, or to infringe the rights of others.
• Reverse engineer or resell the Platform except as permitted by law or written agreement.

6. Data Ownership

As between the parties, the Customer owns the operational data it and its Users submit to the Platform ("Customer Data"). The Customer grants QoreTek a limited license to host, process, and transmit Customer Data solely to provide and support the Platform and as otherwise permitted in the applicable agreement.

7. QoreTek and QoreStruct Intellectual Property

The Platform, including QoreStruct, its software, design, documentation, and the QoreTek and QoreStruct names and logos, are owned by QoreTek and protected by intellectual property laws. Except for the limited right to use the Platform under these Terms, no rights are granted to you. You may not use our marks without prior written permission.

8. Third-Party Services

The Platform may rely on or integrate with third-party services (for example, hosting, authentication, payment, and monitoring providers). Your use of such services may be subject to their own terms, and QoreTek is not responsible for third-party services it does not control.

9. Service Availability

We aim to provide a reliable, available service, but the Platform is provided on an “as available” basis. We may perform maintenance, and availability commitments, if any, will be set out in a separate service-level agreement or order form. We are not liable for downtime caused by factors outside our reasonable control.

10. Fees and Subscriptions

Access to the Platform may be subject to subscription fees described in an order form or plan selected by the Customer. Fees, billing cycles, renewals, and taxes are set out in that documentation. [Fees and subscription terms placeholder — to be completed.]

11. Confidentiality

Each party may receive confidential information from the other. The receiving party agrees to protect such information with reasonable care, to use it only to perform under these Terms, and not to disclose it except to those who need to know and are bound by similar obligations, or as required by law.

12. Disclaimers

Except as expressly stated, the Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, QoreTek will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or related to the Platform will be limited as set out in the applicable agreement, or, where none applies, to the amounts paid for the Platform in the twelve months preceding the claim.

14. Termination

Either party may terminate as set out in the applicable agreement. We may suspend or terminate access for material breach of these Terms, including misuse or security risks. Upon termination, the Customer may request export of its Customer Data within a reasonable period, after which we may delete it in accordance with our retention practices and applicable law.

15. Governing Law

These Terms are governed by the laws of [governing-law jurisdiction placeholder], without regard to conflict-of-laws principles, and the parties submit to the exclusive jurisdiction of the courts located there, unless otherwise agreed in a signed order form.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
